Central Bank of Malta (CBM) Returns
Investment Funds are required to file periodic statutory statistical reports with the Central Bank of Malta (CBM) in terms of Regulation (ECB/2013,38). There are two reporting categories known as the 80% Bracket and the 20% Bracket. The classification of the Investment Funds under one of these categories is established at the sole discretion of the Central Bank of Malta.
The service to cover these reporting obligations are being offered as shown hereunder:
Ø Funds falling under the 80% category as will be determined by CBM:
· Compiling and submission on a monthly basis of the Monthly Liabilities (ML) and,
· Compiling and submission of the Full Set of Returns on a quarterly basis.
Ø Funds falling under the 20% category as will be determined by CBM:
· Compiling and submission on a quarterly basis of the Monthly Liabilities (ML) and,
· Compiling and submission of the Full Set of Returns on an annual basis.
Opening of bank accounts
BOV Fund Services acts as Introducer for foreign owned structures to BOV International Corporate Centre, in order for a company to open the required bank accounts.
The role of Introducer includes the following:
· Collation of due diligence documentation and forms to be filed with Bank of Valletta, our parent company,
· Liaising with Bank of Valletta until bank account numbers are provided.
Safe Keeping Arrangements
BOV Fund Services offers safe keeping solutions whereby contracts and other documents pertaining to the Fund will be securely lodged and stored in a safedeposit box in a vault. BOV Fund Services, upon attaining authorisation from the SICAV would deliver the contents for safekeeping and/or withdrawal from the safedeposit box.
The handling of the Ongoing Obligations related to the listing of the Sub Funds on the Malta Stock Exchange.
This covers the handling of the “Ongoing Obligations” related to the listing of the fund on the Malta Stock Exchange. Amongst others, this will include the following:
a. Publishing the NAV;
b. Informing the market whenever there is a suspension of the NAV calculation or suspension of dealing;
c. Notifying the market of any change in the status or capital structure of the Scheme;
d. Notifying the market of any other information deemed necessary to enable the investors to appraise their position in the Scheme;
e. Communicate the distribution decisions, immediately after the board resolution to the regulated market;
f. Informing the Listing Authority of any change in the holding of units held by the Directors or any person connected to a Director;
g. Providing the Listing Authority, on every valuation day with the NAV, NAV per share and the number of investors.
Additionally, BOV Fund Services will also cover the following roles on behalf of your fund:
§ Informing all investors of any meetings;
§ Issue dividend warrants;
§ Retaining of copies of contracts at the registered office;
§ Publishing of the accounts, which will be sent to the investors upon request;
Forwarding copies of accounts to the Listing Authority
